Please review these Terms of Service (the "Terms") and our Privacy Notice ("Privacy Notice") carefully, as they govern your use of the Tynos.io, Inc. ("Tynos.io") website located at www.tynos.io (the "Site"), Tynos.io's copy content generation services, and any copy content generated by Tynos.io's services for you based on your User Content (defined below) ("Generated Content"). For clarity, the Site, our services, and the Generated Content will collectively be referred to as the "Services."

IMPORTANT NOTICE REGARDING ARBITRATION FOR U.S. CUSTOMERS: WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND TYNOS.IO THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 16 “DISPUTE RESOLUTION” BELOW FOR DETAILS REGARDING ARBITRATION.

1. Agreement to Terms. By utilizing our Services, you consent to adhere to these Terms. If you do not accept these Terms, please refrain from using the Services. If you are accessing and utilizing the Services on behalf of a company (such as your employer) or another legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In this context, “you” and “your” will refer to that entity.

 

2. Privacy Notice. We kindly ask you to review our Privacy Notice, which also governs your use of the Services. It provides detailed information on how we collect, use, and share your information.

3. Changes to these Terms or the Services. We may update the Terms at our sole discretion from time to time. In such cases, we will inform you by posting the revised Terms on our Site and/or through other communications. It is crucial for you to review the Terms whenever updates occur or when utilizing the Services. Your continued use of the Services after posting the updated Terms signifies your acceptance and agreement to the changes. If you do not agree to be bound by the updated Terms, you must discontinue your use of the Services. As our Services evolve, we may modify or discontinue any part of the Services at any time and without prior notice, at our sole discretion.

4. Who May Use the Services?

 

You may access the Services only if you are at least 18 years old and have the legal capacity to enter into a binding contract with Tynos.io, provided that you are not otherwise restricted from using the Services under applicable law.

For certain functionalities of the Services, account creation is necessary. It is essential that you provide accurate, complete, and up-to-date account information and keep it current. Failure to do this may lead to the suspension or termination of your account. To protect your account, please keep your account details and password confidential, and promptly inform us of any unauthorized use. You remain accountable for all activities that occur under your account.

 

5. Feedback. We appreciate your feedback, comments, ideas, proposals, and suggestions aimed at enhancing our Services (“Feedback”). By providing Feedback, you consent to our unrestricted use of it, without any obligation to compensate you.

6. Subscriptions. Tynos.io necessitates the payment of fees for access to the Services (or specific portions thereof), and you agree to remit these fees accordingly.

 

 

 

(a) General. By purchasing a subscription for the Services ("Subscription"), you explicitly authorize us (or our designated third-party payment processor) to charge you for the Subscription. We may request additional information relevant to your Subscription, including your credit card number, the expiration date of your credit card, and your email and postal addresses for billing and notification purposes (collectively referred to as "Payment Information"). You affirm and guarantee that you possess the legal right to utilize all payment methods represented by any such Payment Information. Upon initiating a Subscription, you grant us permission to share your Payment Information with third parties to facilitate the completion of the transaction associated with your Subscription and to charge your selected payment method for the corresponding Subscription type (including any applicable taxes and additional charges). You may be required to provide further information to verify your identity before fulfilling your Subscription (such information is included within the definition of Payment Information). By initiating a Subscription, you consent to the pricing, payment, and billing policies related to such fees and charges, as posted or otherwise communicated to you. All payments for Subscriptions are non-refundable and non-transferable, except as explicitly stated in these Terms. All fees and applicable taxes, if any, must be paid in United States dollars.

(b) Subscriptions. If you purchase a Subscription, you will incur the annual Subscription fee, along with any applicable taxes and additional charges ("Subscription Fee"), at the outset of your Subscription and annually thereafter, at the then-current Subscription Fee rate. BY PURCHASING A SUBSCRIPTION, YOU AUTHORIZE TYNOS.IO TO INITIATE RECURRING NON-REFUNDABLE PAYMENTS AS OUTLINED BELOW. In the event that you purchase a Subscription, we (or our third-party payment processor) will automatically process your annual charge on the anniversary of your Subscription commencement, utilizing the Payment Information you provided until such time as you decide to cancel your Subscription. No less than thirty (30) days and no more than sixty (60) days prior to the conclusion of your Subscription term, or in accordance with applicable law. By agreeing to these Terms and opting to purchase a Subscription, you acknowledge that your Subscription includes recurring payment features and accept responsibility for all recurring payment obligations prior to the cancellation of your Subscription by either yourself or Tynos.io. Your Subscription will remain active until it is cancelled by you or until we terminate your access to or use of the Services or Subscription in accordance with these Terms.

 

(c) Cancellation of Your Subscription. You have the right to cancel your Subscription and receive a full refund within five (5) calendar days following your initial purchase. AFTER THIS PERIOD, YOUR PURCHASE IS FINAL, AND YOU WILL NOT BE ABLE TO CANCEL THE PURCHASE OR OBTAIN A REFUND OF THE SUBSCRIPTION FEE AT ANY TIME. However, in the event of unforeseen circumstances affecting a transaction, we reserve the right to cancel your transaction for any reason. In such cases, we will refund any payment you have made for that transaction. You may cancel your Subscription at any time; please note, however, that cancellation will take effect at the conclusion of the current Subscription period. EXCEPT AS STATED ABOVE REGARDING YOUR INITIAL SUBSCRIPTION PURCHASE, YOU WILL NOT QUALIFY FOR A REFUND OF ANY PORTION OF THE SUBSCRIPTION FEE PAID FOR THE CURRENT SUBSCRIPTION PERIOD AT THE TIME OF CANCELLATION. To proceed with cancellation, please send an email to contact@tynos.io. You will be liable for all Subscription Fees (along with any applicable taxes and additional charges) incurred during the current Subscription period. Should you decide to cancel, your entitlement to use the Services will continue until the end of your current Subscription period, at which point it will conclude without any further charges.

(d) Free Trials. We may extend the opportunity for certain qualifying users to participate in paid subscriptions on a complimentary trial basis (“Free Trial”) for a predetermined duration. If you are selected for a Free Trial, the specific terms associated with it will be communicated at the time of signup. Your engagement with the Free Trial is contingent upon your adherence to these particular terms. Certain restrictions may apply regarding the combination of Free Trials with other promotional offers. Unless explicitly stated otherwise in the Free Trial terms, these offers are exclusively available to users who have not previously subscribed to a paid membership. By agreeing to a Free Trial, you also consent to transition into a paid subscription as outlined above. Therefore, unless you cancel your subscription before the conclusion of your Free Trial, we (or our third-party payment processor) will initiate recurring annual charges to your payment method for the applicable annual fee (inclusive of any relevant taxes and additional charges) at the end of the Free Trial until cancellation is made. To avoid charges to your payment information, it is imperative that you cancel your subscription before midnight Eastern Time on the last day of your Free Trial. Instructions for cancellation can be found in the preceding section titled “Canceling Your Subscription.”

7. Your Content.

 

(a) Content Posting. Our Services may provide you with the ability to store or share various types of content, including text (in posts or communications with others), files, documents, graphics, images, music, software, audio, and video. Any content that you post or otherwise make available through the Services, excluding Feedback, is referred to as "User Content." Tynos.io does not assert any ownership rights over User Content, and nothing in these Terms shall be interpreted as limiting any rights you may have to your User Content.

(b) Permissions for Your User Content. By making any User Content accessible through the Services, you grant Tynos.io, its licensors, and their affiliates a non-exclusive, transferable, perpetual, irrevocable, worldwide, royalty-free, fully paid license, with the right to sublicense. This license permits Tynos.io to use, host, store, copy, communicate, modify, create derivative works from, distribute, publish, publicly display, and publicly perform your User Content in connection with Tynos.io and its licensors and affiliates as they provide, operate, secure, and enhance their services.

(c) Your Liability for User Content. You are solely responsible for all User Content you provide. You represent and warrant that you possess (and will continue to possess) all necessary rights to grant us the licensing rights to your User Content under these Terms. Moreover, you represent and warrant that your User Content, as well as your use and provision of it through the Services, will not infringe, misappropriate, or violate any third-party intellectual property rights, publicity or privacy rights, or contravene any applicable laws or regulations.

 

 

(d) Removal of User Content. Users have the option to delete their User Content directly. However, it is important to understand that, in certain circumstances, some of your User Content, such as posts or comments, may not be completely removed, and copies of this content may continue to exist within the Services. To the fullest extent permitted by law, we are not liable for the removal or deletion of, or the inability to remove or delete, any of your User Content.

(e) Your Use of Generated Content. Provided you adhere to these Terms, Tynos.io grants you a non-exclusive, worldwide license, which includes the right to sublicense, to use, copy, modify, sell, create derivative works from, distribute, publicly display, and publicly perform Generated Content for lawful business purposes.

(f) Ownership of Intellectual Property. The Services may feature content that is protected by intellectual property rights, including Generated Content. We and our licensors retain all rights related to that content.

 

8. Usage Requirements, General Prohibitions, and Tynos.io’s Enforcement Rights.

(a) You acknowledge that you will utilize the Services as follows:

  1. Only in a lawful manner and in accordance with all applicable regulations;
  2. In alignment with the Terms, the license granted in Section 7(e), and any documentation, usage guidelines, parameters, and other requirements provided by Tynos.io or its licensors, as may be amended by Tynos.io or its licensors periodically;
  3. In a manner that does not infringe upon, misappropriate, or otherwise violate the rights of Tynos.io, its licensors, or any other individual or entity;
  4. With respect to Generated Content, in a way that is consistent with the OpenAI mission and the Charter, which is incorporated herein by reference, as determined solely by OpenAI;
  5. In a manner that does not contravene these Terms, any agreements between you and any third parties, or our rights or those of third parties; and
  6. In compliance with and without attempting to bypass any call rate limits or other restrictions that may be imposed by Tynos.io or its licensors from time to time.

You also agree to make reasonable efforts to mitigate the likelihood, severity, and extent of any societal harm resulting from your use of the Services (including the use and sharing of Generated Content) by adhering to the OpenAI API Usage Guidelines. Tynos.io and OpenAI may request information from you regarding your initiatives to minimize safety risks, and you agree to provide such information. This information may be utilized to evaluate compliance with these Terms and to guide enhancements to the Services (including any of its components).

(b) You agree not to engage in any of the following actions:

  1. Post, upload, publish, submit, or transmit any User Content that: (i) infringes, misappropriates, or violates a third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or promotes any conduct that would violate, any applicable laws or regulations, or would potentially result in civil liability; (iii) is fraudulent, false, misleading, or deceptive; (iv) is defamatory, obscene, pornographic, vulgar, or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (vi) is violent or threatening, or encourages violence or actions that could endanger any person or entity; or (vii) promotes illegal or harmful activities or substances;
  2. Distribute, sell, lend, transfer, or assign any rights to any or all of the Services, except for Generated Content as permitted under this Agreement;
  3. Develop any software that operates fundamentally in the same manner as the Services (including any of its components) and distribute it to third parties;
  4. Make modifications, alterations, tampering, repairs, or any derivative works of the Services, except as permitted by Section 7(e), or attempt to undertake such actions;
  5. Please refrain from using the Services in conjunction with any spyware, malware, viruses, worms, trojan horses, or other forms of malicious or harmful code. Additionally, do not utilize any software applications that have not been explicitly and knowingly authorized by users before being downloaded or installed on their computers or other electronic devices.
  6. Utilize the Services to explore any foundational aspects of Tynos.io or its licensors' models, algorithms, and systems, including the extraction of weights from any of Tynos.io or its licensors' models through methods such as cloning via logits.
  7. Please refrain from removing, obscuring, or modifying any notices, including those related to intellectual property rights, that are present on or contained within the Services (including any of its components).
  8. Engage in or attempt to engage in any actions that may disrupt the functionality or proper operation of the Services, including any of its components.
  9. "Unauthorized use, display, mirroring, or framing of the Services or any individual component thereof, including Tynos.io’s name, trademarks, logos, proprietary information, or the layout and design of any page or form, is prohibited without the express written consent of Tynos.io."
  10. Unauthorized access, tampering with, or use of non-public areas of the Services, Tynos.io's computer systems, or the technical delivery systems of Tynos.io's providers is strictly prohibited.
  11. Any attempts to probe, scan, or assess the vulnerabilities of any Tynos.io system or network, or to breach any security or authentication measures, are prohibited.
  12. Do not attempt to avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measures implemented by Tynos.io, its providers, or any third party, including other users, to protect the Services.
  13. Any attempt to access or search the Services, or to download content from the Services using any engine, software, tool, agent, device, or mechanism (including but not limited to spiders, robots, crawlers, or data mining tools) that is not provided by Tynos.io is strictly prohibited.
  14. Utilize web scraping, web harvesting, or web data extraction methods to acquire data from the Services (including Generated Content), as well as from Tynos.io, its licensors, and the software, models, or systems of their affiliates.
  15. Please refrain from sending any unsolicited or unauthorized advertisements, promotional materials, emails, junk mail, spam, chain letters, or any other form of solicitation.
  16. The use of any meta tags, hidden text, or metadata that incorporates a Tynos.io trademark, logo URL, or product name is prohibited without the express written consent of Tynos.io.
  17. Utilize the Services, or any part thereof, for commercial purposes, for the benefit of third parties, or in any manner not expressly authorized by these Terms.
  18. Do not forge any TCP/IP packet header or any portion of header information in emails or newsgroup postings, nor use the Services to transmit altered, deceptive, or fraudulent source-identifying information.
  19. Reverse engineering, decompiling, disassembling, reverse assembling, reverse compiling, translating, or attempting to uncover the source code of any component or software utilized in delivering the Services is strictly prohibited.
  20. Engage in actions that may impede or seek to impede the access of any user, host, or network. This includes, but is not limited to, the transmission of viruses, system overloads, flooding, spamming, or employing mail-bombing tactics against the Services.
  21. Do not collect or store any personally identifiable information from other users of the Services without their explicit consent.
  22. Do not impersonate or misrepresent your association with any individual or organization.
  23. Do not provide or upload any information to the Services that constitutes 'Protected Health Information' as defined by the Health Insurance Portability and Accountability Act.
  24. Utilize the Services in a manner that avoids causing societal harm, which includes, but is not limited to, (i) misleading end users into believing that any Generated Content was created by a human when there is no human involvement, (ii) producing spam, and (iii) creating content intended for distribution in electoral campaigns.
  25. Utilize the Services in a manner that is compliant with all applicable laws and regulations, which includes, but is not limited to: (i) refraining from engaging in illegal activities such as child pornography, gambling, piracy, and violations of copyright, trademark, or other intellectual property laws; (ii) not accessing or permitting others to access the Services from a country that is subject to an embargo as defined by the United States government; and (iii) avoiding any actions that could be construed as threatening, stalking, defaming, defrauding, degrading, victimizing, or intimidating any individual for any reason.
  26. Promote or facilitate any other individual in undertaking any of the aforementioned actions.

Tynos.io is not required to monitor access to or usage of the Services, nor to review or modify any content. However, we reserve the right to do so in order to effectively operate the Services, ensure compliance with these Terms, and adhere to applicable laws or other legal requirements. We retain the right, although not obliged, to remove or restrict access to any content, including User Content, at any time and without prior notice, particularly if we deem it objectionable or in breach of these Terms at our sole discretion. We are also entitled to investigate violations of these Terms or conduct that impacts the Services, and may collaborate with law enforcement authorities to prosecute users who infringe upon the law.

9. DMCA/Copyright Policy. Tynos.io maintains a strong commitment to copyright law and anticipates that its users will uphold the same principles. Accordingly, Tynos.io has established a policy to terminate the accounts of individuals who, in appropriate cases, are found to repeatedly infringe or are presumed to repeatedly infringe upon the rights of copyright holders.

10. Links to Third Party Websites or Resources. The Services may facilitate your access to third-party websites or other resources. This access is provided solely for your convenience, and we disclaim any responsibility for the content, products, or services available from these resources or the links presented on such websites. You acknowledge that you bear sole responsibility for, and assume all risks associated with, your utilization of any third-party resources.

11. Termination. We reserve the right to suspend or terminate your access to and utilization of our Services, including the ability to suspend or terminate your account, at our sole discretion, at any time, and without prior notification. You may cancel your account at any time by sending an email to contact@tynos.io. In the event of termination, discontinuation, or cancellation of the Services or your account, the following Sections will remain in effect: 6(a), 6(b), 6(c) (only concerning payments that are due to Tynos.io before termination), 6(d), 7(b), 7(c), 7(e), 7(f), 8, 9, 11, 12, 13, 14, 15, 16, and 17.

12. Warranty Disclaimers. THE SERVICES ARE PROVIDED 'AS IS,' WITHOUT ANY WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE AND OUR LICENSORS EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES ARISING OUT OF THE COURSE OF DEALING OR USAGE OF TRADE. WE AND OUR LICENSORS DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION OR CONTENT PRESENT ON THE SERVICES.

13. Indemnity.You agree to indemnify and hold Tynos.io, its licensors, affiliates, and their respective officers, directors, employees, representatives, and agents harmless from any claims, disputes, demands, liabilities, damages, losses, costs, and expenses, including but not limited to reasonable legal and accounting fees, arising out of or in connection with (a) your access to or use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your actual or alleged infringement, misappropriation, or violation of Tynos.io's, its licensors', or any third party's intellectual property or proprietary rights.

14. Limitation of Liability.

(a) TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER TYNOS.IO NOR ITS SERVICE PROVIDERS AND LICENSORS INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY OF THE SERVICES SHALL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, REVENUES, SAVINGS, BUSINESS OPPORTUNITIES, DATA LOSS, GOODWILL, SERVICE INTERRUPTIONS, COMPUTER DAMAGE, SYSTEM FAILURES, OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF WHETHER SUCH LIABILITY IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF Tynos.io OR ITS LICENSORS OR SERVICE PROVIDERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A LIMITED REMEDY STATED HEREIN IS DETERMINED TO HAVE FAILED IN ITS ESSENTIAL PURPOSE.

(b) TO THE MAXIMUM EXTENT PERMITTED BY THE LAW OF THE APPLICABLE JURISDICTION, Tynos.io'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, OR FROM YOUR USE OR INABILITY TO USE THE SERVICES, SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO Tynos.io FOR THE USE OF THE SERVICES, OR ONE HUNDRED DOLLARS ($100), IF YOU HAVE NO PAYMENT OBLIGATIONS TO Tynos.io, WHICHEVER IS APPLICABLE.

(c) The exclusions and limitations of damages stipulated above are fundamental components of the contractual agreement between Tynos.io and you.

15. Governing Law and Forum Choice. These Terms, along with any related actions, shall be governed by the Federal Arbitration Act, federal arbitration law, and the laws of the State of California, without consideration of its conflict of laws provisions. Except as explicitly stated in Section 16 “Dispute Resolution,” the exclusive jurisdiction for all disputes (as defined below) that you and Tynos.io are not obligated to arbitrate shall reside in the state and federal courts located in Santa Clara County. Both you and Tynos.io hereby waive any objections to the jurisdiction and venue of these courts.

16. Dispute Resolution.

(a) Mandatory Arbitration of Disputes. Both parties agree that any dispute, claim, or controversy arising from or related to these Terms, including their breach, termination, enforcement, interpretation, validity, or the use of the Services (collectively referred to as "Disputes"), shall be exclusively resolved through binding individual arbitration, and not through a class action, representative action, or consolidated proceeding. Both you and Tynos.io acknowledge that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these Terms, and both parties waive the right to a jury trial or to participate in any class action. This arbitration provision shall remain effective even after the termination of these Terms.

(b) Exceptions. As specific exceptions to Section 16(a) above: (i) both parties may seek to resolve a Dispute in small claims court, provided it qualifies; and (ii) each party retains the right to seek injunctive or other equitable relief from a court to prevent or enjoin any infringement or misappropriation of our intellectual property rights.

(c) Conducting Arbitration and Arbitration Rules. The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules (the “AAA Rules”) that are in effect at the time, unless modified by these Terms. The AAA Rules can be accessed at www.adr.org or by contacting 1-800-778-7879. A party intending to initiate arbitration must submit a written Demand for Arbitration to the AAA and notify the other party as outlined in the AAA Rules. The AAA offers a format for the Demand for Arbitration available at www.adr.org.

Any arbitration hearings will be held in the county (or parish) of your residence, unless both parties mutually agree to an alternative location. The parties acknowledge that the arbitrator holds exclusive authority to determine all matters concerning the interpretation, applicability, enforceability, and scope of this arbitration agreement.

(d) Arbitration Costs. The payment of all filing, administration, and arbitrator fees shall be governed by the AAA Rules. We will not seek to recover the administration and arbitrator fees for which we are responsible unless the arbitrator determines that your dispute is frivolous. If we prevail in arbitration, we will cover all of our attorneys' fees and costs and will not attempt to recover these expenses from you. If you prevail in arbitration, you will be entitled to an award of attorneys' fees and expenses as permitted by applicable law.

(e) Injunctive and Declaratory Relief. With the exception of what is specified in Section 16(b) above, the arbitrator shall resolve all liability issues regarding the merits of any claims brought forth by either party. The arbitrator may grant declaratory or injunctive relief solely to the requesting party and only to the extent necessary to provide relief that is justified by that party's specific claim. In instances where a party prevails on a claim and pursues public injunctive relief—defined as relief aimed primarily at prohibiting unlawful actions that pose a future threat to the public—such entitlement and the scope of relief must be addressed in a civil court of competent jurisdiction rather than through arbitration. The parties mutually agree that the litigation pertaining to public injunctive relief shall be temporarily paused until the resolution of the merits of any individual claims in arbitration.

(f) Class Action Waiver. You and TYNOS.IO agree that any claims brought by either party shall be pursued solely in an individual capacity, and not as a plaintiff or class member in any alleged class or representative action. Additionally, in the event that the parties' dispute is resolved through arbitration, the arbitrator shall not have the authority to consolidate another individual's claims with yours, nor shall they preside over any representative or class proceedings. Should this particular provision be deemed unenforceable, the entire Dispute Resolution section will be rendered null and void.

(g) Severability. Except for the provisions stated in Section 16(f) of these Terms (“Class Action Waiver”), if an arbitrator or a court of competent jurisdiction determines that any portion of these Terms is invalid or unenforceable, the remaining provisions shall continue to be in effect.

17. General Terms.

(a) Reservation of Rights. Tynos.io and its licensors retain exclusive ownership of all rights, title, and interest in the Services, including all associated intellectual property rights. However, Tynos.io's licensor, OpenAI LLC, holds exclusive rights to all Generated Content. Tynos.io does not assert any ownership over Generated Content. You acknowledge that the Services are protected under copyright, trademark, and other applicable laws in the United States and other jurisdictions. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices that are included in or accompany the Services.

(b) Entire Agreement. These Terms represent the complete and exclusive understanding and agreement between Tynos.io and you concerning the Services, and they supersede all prior oral or written agreements or understandings between Tynos.io and you related to the Services. Should any provision of these Terms be found invalid or unenforceable by an arbitrator or a court with appropriate jurisdiction, such provision will be enforced to the fullest extent allowable, while the remaining provisions will continue to be in full force and effect. You are not permitted to assign or transfer these Terms, whether by operation of law or otherwise, without the prior written consent of Tynos.io. Any attempt by you to assign or transfer these Terms without such consent shall be considered void. Tynos.io retains the right to assign or transfer these Terms without any restrictions. Subject to the aforementioned stipulations, these Terms shall bind and benefit the parties, their successors, and permitted assigns.

(c) Notices. Any notices or communications issued by Tynos.io in accordance with these Terms will be delivered: (i) via email; or (ii) by posting on the Services. For emails sent as notices, the date of receipt will be considered the date the notice is sent.

(d) Waiver of Rights. The failure of Tynos.io to enforce any right or provision of these Terms shall not be interpreted as a waiver of such right or provision. Any waiver shall be effective only if it is in writing and signed by an authorized representative of Tynos.io. Except as explicitly stated in these Terms, the exercise of any remedies by either party under these Terms shall be without prejudice to any other remedies available under these Terms or otherwise.
